The Background

Every two years, domestic and foreign corporations are required to file a Biennial Statement with the New York Department of State. This document essentially allows these corporations to maintain their entity status. To file, eligible corporations and Limited Liability Companies (LLCs) must pay a $9 fee.

The Scam

When your form is due, you may receive a fake notice that looks almost exactly like an official New York State form. If you look closely, though, you’ll notice that it’s not from New York State, but from a company called CPS Filing Services, or another similar name, offering to file the form for you for a hefty $100 fee. The way the form is designed it appears that you are paying $100 to New York State, when instead you’re paying a solicitation company $100 to file and pay the $9 form. That means you are needlessly paying $91!

What You Can Do

You can easily file the form and pay the fee yourself online here. It only takes a few minutes! The filing service is available Monday – Friday from 6:00am to 7:30 p.m. Eastern Standard Time. Just have handy the exact name of the entity you are filing for and its DOS ID number.
